Exchange Agent Services

AST has acted as Exchange Agent for hundreds of acquisitions. The surrender of shares of the acquired company and the issuance of shares of the acquiring company, with or without an associated cash payment, is accomplished automatically. Years after the initial exchange, we are able to accurately compute the number of shares to be issued (accounting for stock dividends, splits, etc.) as well as any cash dividends that have accumulated on the unexchanged shares.

Tender Agent Services

AST has acted as Tender Agent for many multi-billion dollar tender offers as well as lesser offers. Our entire process is automated and, unlike other agents, we will continue to act in that capacity until all shares have been tendered. We do not dump the problem of untendered shares into the laps of our clients.
